1. Agreement to Terms

By accessing or using AlphaClaw ("the Service"), operated by StartClaw Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

AlphaClaw provides a platform for deploying and managing autonomous AI agents. These agents can perform various tasks on your behalf, including but not limited to: communication, data processing, and automated workflows.

Important: AI agents operate autonomously based on their configuration. You are solely responsible for configuring, monitoring, and supervising your agents.

3. Third-Party AI Model Providers

AlphaClaw utilizes large language models (LLMs) from third-party providers to power AI agents. By using our Service, you acknowledge and agree that:

• Your prompts and data may be processed by these third-party providers
• You are bound by each provider's terms of service and acceptable use policies
• Provider availability, capabilities, and pricing may change without notice
• We are not responsible for third-party provider outages or policy changes

Your Obligation: Before using any model, you must review and comply with that provider's terms. Violation of a provider's policies may result in suspension of your AlphaClaw account.

4. Third-Party Platform Integrations

The Service integrates with third-party messaging and communication platforms, including but not limited to:

• WhatsApp (Meta Platforms, Inc.)
• Telegram (Telegram FZ-LLC)
• Discord (Discord Inc.)
• Slack (Salesforce, Inc.)
• Signal (Signal Technology Foundation)

Your use of these integrations is subject to the respective terms of service of those platforms. We are not responsible for the availability, functionality, or policies of third-party services. You must comply with each platform's terms when using AlphaClaw agents on those platforms.

5. User Responsibilities

As a user of AlphaClaw, you agree to:

• Maintain the security of your wallet and credentials
• Be solely responsible for all actions performed by your AI agents
• Monitor your agents' activities and intervene when necessary
• Comply with all applicable laws and regulations in your jurisdiction
• Not use the Service for any illegal, harmful, or abusive purposes
• Not attempt to circumvent usage limits or security measures

6. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or automated bulk communications
• Harass, abuse, threaten, or harm others
• Distribute malware, viruses, or engage in phishing activities
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service, servers, or connected networks
• Resell, redistribute, or sublicense the Service without authorization
• Impersonate individuals, organizations, or AI systems
• Engage in fraud, scams, or deceptive practices
• Violate intellectual property rights of others
• Process or store illegal content
• Manipulate markets or engage in wash trading
• Violate export controls or sanctions
• Reverse engineer, decompile, or disassemble the Service

We reserve the right to suspend or terminate accounts that violate these policies without refund.

7. Payments and Billing

AlphaClaw accepts cryptocurrency payments. By making a payment, you acknowledge:

• Cryptocurrency transactions are generally non-refundable
• You are responsible for sending the correct amount to the correct address
• Transaction fees are your responsibility
• Prices are subject to change with reasonable notice
• Credits expire according to your subscription plan

In exceptional circumstances (e.g., platform errors), refunds may be issued at our sole discretion.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by StartClaw Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any content you create using our Service. By using AlphaClaw, you grant us a limited, non-exclusive license to process your content solely for providing the Service.

AlphaClaw, the AlphaClaw logo, and related marks are trademarks of StartClaw Inc. You may not use these marks without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STARTCLAW INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that defects will be corrected or that the Service is free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARTCLAW INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Actions taken by your AI agents
• Unauthorized access, use, or alteration of your content
• Service interruptions or downtime
• Third-party service failures (APIs, LLM providers, messaging platforms)
• Cryptocurrency value fluctuations or transaction failures

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless StartClaw Inc., its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Actions performed by your AI agents

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time through the dashboard settings or by contacting support.

Upon termination:

• Your agents will be stopped immediately
• Your data will be deleted within 30 days
• Unused credits are non-refundable
• You remain liable for actions taken before termination

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting an update on our website or sending you an email to the address associated with your account.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by applicable law.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StartClaw Inc. regarding the Service and supersede all prior agreements and understandings.
